1. Agreement to Terms

By accessing this website or engaging the services of Digital Guruji Solutions ("we", "us", "our"), you agree to these Terms of Service. If you do not agree, do not use our website or services.

2. Services

Digital Guruji Solutions provides digital marketing services including but not limited to: SEO, Google Ads management, Social Media Marketing, WhatsApp Automation, AI Automation, N8N workflow development, CRM implementation, website development, and related consulting.

Specific service terms, deliverables, timelines, and fees are agreed in individual service agreements or statements of work signed between Digital Guruji Solutions and the client.

3. Client Responsibilities

Provide accurate information required to deliver services
Grant necessary access to accounts, platforms, and assets in a timely manner
Ensure all content, trademarks, and materials you provide are legally owned or licensed
Comply with applicable platform terms (Google Ads, Meta, WhatsApp Business, etc.)
Pay invoices within the agreed payment terms

4. Intellectual Property

All website content, design, code, and materials produced by Digital Guruji Solutions remain our intellectual property until full payment is received. Upon payment, clients receive a non-exclusive licence to use deliverables for their stated business purpose.

Client-provided materials (logos, brand assets, content) remain the property of the client. We claim no ownership over client-provided assets.

5. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement. This includes business strategies, client data, campaign performance, and pricing. This obligation survives termination of the service agreement.

6. Results and Guarantees

Digital marketing results depend on many factors including market conditions, algorithm changes, competition, and client-provided inputs. We do not guarantee specific rankings, traffic volumes, lead quantities, or revenue outcomes. We commit to professional, good-faith execution of agreed strategies.

7. Limitation of Liability

To the maximum extent permitted by law, Digital Guruji Solutions shall not be liable for indirect, incidental, consequential, or punitive damages arising from service delivery. Our total liability shall not exceed the fees paid in the 3 months preceding the claim.

8. Payment Terms

Unless otherwise agreed, invoices are due within 15 days of issue. Late payments attract a 2% monthly interest charge. We reserve the right to pause services for accounts overdue by more than 30 days.

9. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, you are responsible for fees earned up to the termination date. We will provide reasonable assistance with handover of accounts and materials.

10. Governing Law

These terms are governed by the laws of Maharashtra, India. Any disputes shall be subject to the exclusive jurisdiction of courts in Thane, Maharashtra.

11. Changes to Terms

We reserve the right to update these terms. Continued use of our website or services after changes constitutes acceptance. Material changes to active service agreements will be communicated in writing.
